Master Agreement: SERV-U HUB – SUBCONTRACTOR SERVICES AGREEMENT
Please read this Subcontractor Services Agreement ("Agreement") carefully. By clicking "I Agree," or by accessing or performing any roadside assistance dispatches through the Serv-U Hub platform, you (“Subcontractor”) agree to be legally bound by these terms. This Agreement is between you and Serv-U Hub (“Company”).
1. SCOPE & ON-DEMAND DISPATCH
This Agreement governs all roadside assistance, towing, mechanical, or battery services ("Services") you accept through the Serv-U Hub platform. Company provides dispatches on a non-exclusive basis. You have full autonomy to accept or reject any available dispatch at your sole discretion. Company does not guarantee any minimum volume of work.
2. INDEPENDENT CONTRACTOR STATUS
You explicitly agree that you are an independent contractor and NOT an employee, agent, or partner of Serv-U Hub. You retain absolute control over the means, methods, tools, and timing of how you execute the Services. You are solely responsible for your own operational costs, fuel, vehicles, equipment, and all applicable federal, state, and local taxes or insurance.
3. PROVIDER OBLIGATIONS & SAFETY
You agree to furnish all necessary equipment, service vehicles, and safety apparel (including high-visibility vests) to complete jobs safely and professionally. Roadside environments are inherently dangerous; you are solely responsible for evaluating scene safety before initiating any service. You agree to comply with all local traffic, towing, and motor vehicle laws.
4. INDEMNIFICATION & LIABILITY SHIELD
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Serv-U Hub, its officers, directors, and employees from any and all claims, damages, losses, fines, lawsuits, or expenses (including reasonable attorneys' fees) arising out of your performance or attempted performance of Services. This includes, but is not limited to:
- Any bodily injury, sickness, or death of any person (including yourself, the customer, or bystanders).
- Any damage to, theft of, or destruction of a Customer’s vehicle or personal property while under your care, custody, or control.
- Any environmental or hazardous fluid spills (oil, coolant, fuel) caused by your service.
5. REQUIRED INSURANCE
You certify that you maintain and will keep active at your own expense:
- Commercial General Liability Insurance ($1,000,000 per occurrence).
- Commercial Automobile Liability Insurance ($1,000,000 combined single limit).
- Garage keepers / On-Hook Towing Insurance (Minimum $100,000, if providing towing services).
- Workers' Compensation Insurance as required by state law.
Upon request, you must upload or provide a Certificate of Insurance (COI) naming Serv-U Hub as an Additional Insured.
6. FEES AND PAYMENT
Company shall pay you for successfully completed Services based on the rates displayed and agreed upon at the time you accept the dispatch inside the app or our web-services. Company reserves the right to withhold payment or deduct funds for verified customer property damage caused by your negligence, uncompleted jobs, or fraudulent activity.
7. TERMINATION & PLATFORM ACCESS
Either party may terminate this Agreement at any time without cause by providing written notice or closing the account. Serv-U Hub reserves the right to immediately deactivate or suspend your access to the platform for safety violations, customer complaints, or breach of these terms.
BY CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
